 Definitions and Interpretation

  • “Company,” “we,” “us,” “our”: King vs Queen llc DBA Sabali Route.
  • “Customer,” “you,” “your”: The business entity or representative using our services.
  • “Services”: Software, sourcing, and distribution solutions provided by Sabali Route.

 Service Scope

We provide B2B software, sourcing, and distribution services as described on sabaliroute.com and in your service agreement. Service details, features, and limitations are specified in your order or contract.


 Customer Obligations

  • Provide accurate business information and maintain account security.
  • Use services only for lawful, authorized business purposes.
  • Comply with all applicable laws and regulations.
  • Not misuse, reverse engineer, or interfere with our services.

 Intellectual Property

All software, content, and materials provided by Sabali Route are our intellectual property or licensed to us. You receive a limited, non-exclusive, non-transferable license to use our services as agreed. You may not copy, modify, or distribute our IP without written consent.

 Payment Terms

  • Fees are due as specified in your order or invoice (typically net 30 days).
  • Late payments may incur interest or service suspension.
  • Disputes must be raised within 15 days of invoice receipt.

 Data Protection and Privacy

We process business and personal data in accordance with our Privacy Policy and applicable laws. Customers are responsible for ensuring their own compliance when providing data to us.

 Service Level Agreements (SLAs)

We strive to meet agreed service levels (e.g., uptime, response times). Remedies for SLA breaches may include service credits or termination as specified in your agreement.

 Confidentiality

Both parties agree to protect each other’s confidential information and not disclose it to third parties except as required for service provision or by law.


 Warranties and Disclaimers

  • We warrant that services will be provided with reasonable skill and care.
  • Except as expressly stated, services are provided “as is” and we disclaim all other warranties, including merchantability and fitness for a particular purpose.

 Limitation of Liability

Our liability is limited to the amount paid for services in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, except for liability that cannot be excluded by law.


 Indemnification

You agree to indemnify and hold Sabali Route harmless from claims, damages, or losses arising from your breach of these terms, misuse of services, or violation of law.


Term and Termination

  • Either party may terminate for convenience with 30 days’ written notice.
  • We may suspend or terminate for breach, non-payment, or unlawful use.
  • Upon termination, your access ends and data will be returned or deleted per our Privacy Policy.

 Dispute Resolution

Disputes will be resolved through good-faith negotiation, followed by mediation or binding arbitration if necessary. Governing law and arbitration location will be specified in your agreement.


 General Provisions

  • These terms constitute the entire agreement and supersede prior agreements.
  • No assignment without written consent.
  • Force majeure applies for events beyond reasonable control.
